LIN-GO Seller Service Agreement

Reminder terms

You are welcome to sign this "LIN-GO Seller Service Agreement" (hereinafter referred to as the "Agreement") and use LIN-GO Seller Service together with the LIN-GO Seller Service Provider (see Definitions for details)!

Before you use the LIN-GO seller service (hereinafter referred to as "this service"), you should read and agree to abide by this agreement, which includes the text and attachments of the agreement, the "Consumer Protection Service Agreement" and all relevant LIN-GO rules ( See Definitions for details).

This agreement is a split and revised version of the "LIN-GO Platform Service Agreement". From the date of publication of this agreement, the relevant content of LIN-GO sellers in the "LIN-GO Platform Service Agreement" referred to by LIN-GO everywhere refers to this agreement.

The index keywords listed before each service term are only used to help you understand the purpose expressed in the terms, and do not affect or limit the meaning or interpretation of the terms of this agreement. In order to protect your own rights and interests, it is recommended that you carefully read the specific expressions of each clause.

[Signing action] When you click to sign this agreement online, it means that you have fully read, understood and accepted the entire content of this agreement, and this agreement is legally binding between you and LIN-GO. If you do not agree with any content of this agreement or cannot accurately understand the meaning and interpretation of the terms, please immediately stop the process of creating a store or stop the operation of the store.

1. Definition

LIN-GO: Refers to the website of the e-commerce platform that LIN-GO provides Internet information services and related software and technical support (the website is https://www.linkedinshop.shop/ or the website that LIN-GO modifies from time to time according to business needs, including computer or mobile device Internet URL, etc.)

Seller: Refers to the legal entity operating goods or services on LIN-GO, which may also be referred to as "you" in this agreement.

Consumer: Refers to any natural person or organization who makes purchases on LIN-GO and uses the purchased goods or services for consumption, also known as a "buyer".

LIN-GO seller service provider: including LIN-GO Network Co., Ltd. and LIN-GO, which may be referred to as "LIN-GO" individually or collectively in this agreement.

Seller Services: Refers to the Internet information services and related software services provided by LIN-GO to sellers in LIN-GO. Among them, the Internet information services are provided by LIN-GO Network Co., Ltd., and the services under this agreement are provided at the same time , terminated at the same time, the seller is not allowed to order or use separately.

Rules: Refers to all rules, implementation rules, interpretations, product process descriptions, announcements, etc. that have been released and subsequently released in all LIN-GO rule channels, forums, help centers and other sections.

The same user: If the same identity authentication information is used or the actual controller of multiple accounts is determined to be the same person through LIN-GO investigation, they are all regarded as the same user.

2. Scope and effect of the agreement

2.1 [Agreement Scope] The content of this agreement includes the text and attachments of the agreement, the "Consumer Protection Service Agreement" and all relevant rules that LIN-GO has released or will subsequently release and notify you according to law. The relevant rules of LIN-GO are an integral part of this agreement, and have the same legal effect as the text of this agreement. If you use the LIN-GO seller service, you are deemed to agree to all the contents of this agreement. Unless otherwise stated or signed an agreement, any expansion of the scope of service or enhancement of software functions of LIN-GO based on the purpose of improving consumer and seller experience, platform service upgrades, etc. shall be bound by this agreement.

2.2 [Agreement Effectiveness] When you click to sign this agreement online, it means that you have fully read, understood and accepted the entire content of this agreement, and this agreement is legally binding between you and LIN-GO. If you do not agree For any content of this agreement, or if you cannot accurately understand the meaning of the terms or LIN-GO's interpretation of the terms, you should immediately end the process of creating a store or stop the store business activities.

This agreement is a supplementary agreement to the "LIN-GO Platform Service Agreement". For the content not agreed in this agreement, the "LIN-GO Platform Service Agreement" shall prevail; if this agreement is inconsistent with the "LIN-GO Platform Service Agreement", the This Agreement shall prevail.

3. Seller Services and Specifications

3.1 Account use and information submission

3.1.1 [Account Use] You must use the LIN-GO platform account to log in to LIN-GO when using the seller's service, and you should properly keep the account and password information by yourself. Since your account is associated with your personal information and LIN-GO business information, your account can only be used by you. Without the consent of LIN-GO, your direct or indirect authorization to a third party to use your LIN-GO account or obtain information under your account is invalid. Except for the fault of LIN-GO, you should be responsible for all behavior results under your account (such as signing agreements online, publishing and disclosing information, etc.), and the behaviors completed through your account are regarded as your own behavior or have been fully authorized by you . If LIN-GO judges that the use of your account may endanger your account security and/or LIN-GO platform information security according to the breach determination procedures and standards agreed in the LIN-GO rules, LIN-GO may refuse to provide corresponding services or terminate this service. protocol.

3.1.2 [Information submission] If you want to use the services under this agreement, you must submit relevant information and supporting documents in accordance with relevant laws and regulations, relevant LIN-GO rules, and page prompts. You understand and agree that you are obliged to ensure that the information and materials you provide are true, legal, accurate and valid, and update them in time if any changes occur. Based on the requirements of relevant laws and regulations, platform management, etc., you agree that LIN-GO may conduct spot checks on the information and supporting documents you submit from time to time and require you to submit more information or supporting documents for the aforementioned purposes. You understand and agree that LIN-GO only reviews applications for seller information, certification documents, store creation, and category publishing permissions based on the general public's knowledge. Not responsible for the damage caused.

3.2 Store Management

3.2.1 [Store Creation] By creating a store in LIN-GO, you can publish new products and reach transactions with other users. Based on the management needs of LIN-GO, you understand and agree that the same user can only open one store in LIN-GO, and LIN-GO can close other stores you have opened in LIN-GO at the same time, unless otherwise stipulated in the relevant rules of LIN-GO except.

3.2.2 [Change of the store operator] Due to the inseparability of the store and the account, the change of the store operator is essentially the transfer of the account of the store operator. The relevant requirements and restrictions for the change of the store operator shall apply to the "LIN-GO Platform Service Agreement" 3.2 There is an account transfer clause, that is, because the store is associated with you and LIN-GO's business information and may involve consumer interests, only when there are legal provisions, judicial rulings or consent of LIN-GO, and the operation of the store in compliance with LIN-GO rules In the case of changing the conditions and procedures of the main body, you can change the business main body of the store. Once the operating entity of your store is successfully changed, the rights and obligations under your account will be transferred together. In addition, your store/account cannot be transferred in any way, otherwise LIN-GO may terminate the service provided to the account and has the right to pursue your breach of contract, and the resulting responsibilities and consequences shall be borne by you.

3.2.3 [Store Closing] If you temporarily close your store by removing all products from the shelves, you shall continue to undertake transactions such as delivery, return and exchange, warranty repair, rights protection complaints and other transactions for the transactions that have been reached before your store is closed Guarantee responsibility.

In the event that your store continues to have no products on sale within a certain period of time, LIN-GO can also close your store in accordance with the LIN-GO rules. Closing the store according to the above agreement will not affect your accumulated credit.

3.2.4 [Store order] If the store receives a new order, the seller must guarantee to deliver the goods to the customer within 48 hours. If it exceeds 72 hours, LIN-GO has the right to punish the seller

3.3 Sales and promotion of goods and/or services

3.3.1 [Issuance of product and/or service information] Through the services provided by LIN-GO, you have the right to publish product and/or service information, solicit and look for transactions on LIN-GO in the form of text, pictures, videos, audios, etc. object, to conclude a transaction. You represent and warrant that you have the corresponding and legal rights to the information you publish, that the information you publish and the actions you implement are in compliance with relevant laws and regulations, national mandatory standards and this agreement, and you are responsible for the management of the store Obligations, immediately delete any information in your store that violates the relevant laws and regulations of the state and the provisions of this agreement, otherwise, LIN-GO may delete or block the information you posted according to the law or in accordance with this agreement.

3.3.2 [Prohibited information] You should ensure that the information you publish does not contain the following content:

(1) Violating the prohibitive provisions of national laws and regulations;

(2) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror or abetting crimes;

(3) Fraudulent, false, inaccurate or misleading;

(4) Violating the intellectual property rights of others or involving third-party business secrets and other proprietary rights;

(5) Insulting, slandering, intimidating, involving other people's privacy, etc. infringing on the legitimate rights and interests of others;

(6) Malware, program codes such as viruses, Trojan horses, crawlers, etc. that may destroy, tamper with, delete, or affect the normal operation of any system of LIN-GO, or secretly obtain data and personal data of LIN-GO and other users without authorization;

(7) Others that violate social public interests or public morals or are not suitable for publishing on LIN-GO in accordance with relevant LIN-GO agreements and rules.

3.3.3 [Scope of prohibited sales] You should ensure that you have the corresponding rights to the commodities and/or services you publish on LIN-GO, and you are not allowed to sell the following commodities and/or provide the following services on LIN-GO:

(1) prohibited or restricted by law;

(2) Violating the intellectual property rights or other legitimate rights and interests of others;

(3) The LIN-GO rules, announcements, notices or agreements signed by each platform and you have clearly stated that they are not suitable for sale and/or offer on LIN-GO.

Based on the Internet-related characteristics, you understand and know that the products you publish on LIN-GO may be browsed and purchased by consumers in different countries and regions around the world. If you do not explicitly indicate that the sales are only for special regions, LIN-GO will not intervene in possible cross-border sales. In this case, you must pay careful attention to the relevant laws and tax regulations of the relevant countries and regions, and ensure that you have legal rights and qualifications to sell, and will not infringe on the intellectual property rights or other legitimate rights and interests of others.

3.3.4 [Display, marketing and promotion] LIN-GO will display the products and/or services you sell through LIN-GO, and provide users with functions such as information classification, keyword search, screening and collection to better match User needs and the corresponding display results may be comprehensively determined by various factors such as price, sales volume, inventory, credit evaluation, brand, service level, compliant operation, user demand preferences, search habits, and competitiveness.

You have the right to decide on your own how to market and promote your products and/or services. LIN-GO also provides you with a variety of marketing and promotion tools, and will launch marketing activities from time to time according to market demand and the seller's operating conditions. Before you sign up for the above activities, you have fully understood that the qualifications and effects of the activities may be affected by factors such as activity positioning, product/store competitiveness, comprehensive ranking, and activity cooperation. Once you choose to sign up, it means that you promise to always Comply with the relevant rules and requirements of the corresponding activities. Without the consent of LIN-GO, you promise not to quit during the event, and jointly ensure a good user experience and a stable and orderly development of the event.

3.3.5 [Guarantee of transaction order] You should abide by the principle of good faith, ensure that the information on the goods and/or services you publish is true and consistent with the goods you actually sell and/or the services you provide, and that you perform the transaction during the transaction process. Your transaction commitment.

You should maintain the healthy competition order in the LIN-GO market, and you must not belittle or slander competitors, and you must not interfere with any transactions or activities on LIN-GO, and you must not enhance or attempt to enhance your own credit in any improper way, and must not interfere in any way or attempt to interfere with the normal operation of LIN-GO.

3.3.6 [Taxing taxes according to law] Paying taxes according to law is the obligation of every citizen and enterprise. You should report and pay taxes to the competent tax authorities in a timely and full amount for the sales/turnover exceeding the statutory exemption amount.

3.4 Consumer protection

[Responsibility subject] You understand and agree that, as the responsible subject of consumer protection, you should perform various obligations of consumer protection in accordance with relevant laws and regulations, the "Consumer Protection Service Agreement" and relevant LIN-GO rules, including basic consumer protection Services such as the truthful description of the product, 7-day no-reason return, special transaction agreement performance, deposit payment, etc., are subject to the "Consumer Protection Service Agreement" and the relevant rules of LIN-GO.

3.5 Transaction Dispute Handling

[Transaction Dispute Resolution] If you have a dispute with other users during the LIN-GO transaction, you or any other user has the right to choose the following methods to resolve:

(1) Independent negotiation with the opposing party to the dispute;

(2) Use the dispute mediation service provided by LIN-GO;

(3) Request mediation by consumer associations or other legally established mediation organizations;

(4) Complain to the relevant administrative department;

(5) Submit to an arbitration institution for arbitration according to the arbitration agreement (if any) reached with the opposing party to the dispute;

(6) File a lawsuit with the court.

[Platform mediation service] If you use LIN-GO's dispute mediation service in accordance with the LIN-GO rules, it means that you recognize and are willing to implement LIN-GO's customer service or public reviewers ("prescription mediation") as an independent third party according to its The facts of the dispute learned and the mediation decision made according to the LIN-GO rules (including adjusting the transaction status of the relevant order, deciding to pay all or part of the disputed amount to one or both parties of the transaction, etc.). Before the LIN-GO mediation decision is made, you can choose the above-mentioned (3), (4), (5), and (6) methods (hereinafter referred to as "other dispute resolution channels") to resolve disputes to suspend LIN-GO's dispute mediation service .

If you are dissatisfied with the mediation decision, you still have the right to adopt other dispute resolution channels to resolve the dispute, but you should still implement the mediation decision first before obtaining a final decision through other dispute resolution channels.

3.6 Data usage and information authorization, etc.

3.6.1 [General requirements] LIN-GO respects and legally protects the data rights of you and other relevant subjects regarding the data generated during your use of the service. Under this premise, the relevant rights to the data collected and recorded by LIN-GO during your use of this service and other LIN-GO operations belong to LIN-GO, and are LIN-GO's business secrets. With the prior written consent of LIN-GO, you shall not use the aforementioned data for purposes other than those stipulated in this agreement or provide the aforementioned data to others in any form.

3.6.2 [Business secrets] LIN-GO respects and protects sellers’ store transactions The trade secret information of the seller, such as the transaction amount, the transaction amount of a certain category or a certain item, etc. In order to promote the seller's store or its products, LIN-GO can publicize the total transaction amount of your store, a certain category or a certain single product during your participation in the official market activities held by LIN-GO (including "Double Twelve", etc.) The above information can also be used for publicity and promotion.

3.6.3 [Authorized Use] To the extent permitted by law, for the purpose of promoting related products and/or related brands, you agree to grant LIN-GO free of charge the right to announce to you on the relevant display and promotion pages of LIN-GO in your store. information (including commodity trademarks, logos, texts, pictures, etc.), copying (such as synchronously displaying on multiple clients), modifying (such as fine-tuning to adapt to the mobile visual experience), adapting (such as adding design elements for the overall activity of the platform), Translation (such as translation to meet the browsing needs of overseas users) and the right to sublicense third parties based on the above purposes and methods.

3.6.4 [Data usage] All official products, technologies, software, programs, data and other information (including text, icons, pictures, photos, audio, video, charts, color combinations, layouts, etc.) launched by LIN-GO All rights (including copyrights, trademark rights, patent rights, trade secrets and other related rights) are owned by LIN-GO and its affiliated companies. Except for the data that you have the right to use commercially in accordance with relevant laws, you agree not to use any other data on LIN-GO for commercial purposes, including but not limited to copying, Use any information displayed by other users on the LIN-GO site by disseminating or disclosing it to others.

3.6.5 [Information Disclosure] To the extent permitted by law, if consumers and obligees have a reasonable need to protect their rights by complaining to relevant authorities or suing the court, they apply to LIN-GO for the name of the business entity of your store , ID number, address and contact information, you agree that LIN-GO may disclose the aforementioned information to it.

3.6.6 [Personal Information Protection] You must strictly abide by the requirements of relevant laws on network security and data protection. Among them, if the information you collect, use and share during the operation of the store involves the personal information of LIN-GO platform users, you must follow The principles of legality, justice and necessity shall not violate the provisions of relevant laws and the agreement between you and the user, including: without other authorization from the user, you shall use the user's order information and other necessary transaction-related information only for The purpose stipulated in the "LIN-GO Privacy Policy" is to satisfy the user's purpose of purchasing goods or services and completing after-sales service; it is prohibited to use the user's information without the user's explicit consent or beyond the scope of the user's authorization, or illegally provide the user's personal information to others.

If the information you submit to the platform involves personal sensitive information such as a copy of the ID card of the legal representative of the enterprise or its ID number, you guarantee that you have obtained the explicit consent of the relevant personal information subject, and that the purpose and behavior of the use are in line with your wishes and relevant information. required by law.

3.6.7 [Personal Information Security] You should take necessary technical measures to ensure data security. When information security risks occur or may occur, you should immediately take remedial measures, inform users in a timely manner and report to relevant authorities in accordance with regulations.

3.6.8 [Trade Restrictions] Please pay attention to and strictly abide by the laws and regulations related to import and export control, trade restrictions and economic sanctions that may affect your transaction behavior, so as not to cause losses to you or buyers, and ensure compliance with relevant software applicable to this platform All laws and regulations related to the import and export of technology and services. Based on the need to maintain the transaction order and transaction security of the LIN-GO platform, if you violate the aforementioned commitments, LIN-GO may take the initiative to perform operations such as removing products from the shelves and closing related transaction orders when discovering the above situation.

3.6.9 [Subject information] Under this agreement, the LIN-GO seller service provider may change according to LIN-GO’s business adjustments, and the changed LIN-GO seller service provider will perform this agreement with you and report to you To provide services, the change of LIN-GO seller service provider will not affect your rights and interests under this agreement. LIN-GO seller service providers may also be added due to the provision of new seller services. If you use the new seller services, you are deemed to agree that the newly added LIN-GO seller service providers will perform this agreement with you . In the event of a dispute, you can determine the entity performing the contract with you and the opposing party to the dispute based on the specific services you use and the specific behavioral objects that affect your rights and interests.

4. Cost

4.1 LIN-GO has paid a lot of costs for the services provided by LIN-GO to you. Except for the fee-charging business expressly indicated by LIN-GO, the services provided to you by LIN-GO are currently free of charge. If LIN-GO charges you a reasonable fee in the future, LIN-GO will take reasonable measures and pass the legal procedures in advance with a sufficient and reasonable time limit and notify you in the manner stipulated in Article 8 of this agreement, so as to ensure that you have the full right to choose.

V. Limitation of Liability

5.1 [Force majeure and third-party reasons] LIN-GO fulfills the basic guarantee obligations in accordance with the law, but LIN-GO is not responsible for contract performance obstacles, performance defects, performance delays, or changes in performance content caused by the following reasons. Liability for breach of contract:

(1) Force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders, etc.;

(2) Due to power supply failure, communication network failure and other public service factors or third-party factors;

(3) Under the circumstances that LIN-GO has managed in good faith, due to routine or emergency equipment and system maintenance, equipment and system failure, network information and data security and other factors.

5.2 [Massive information] In view of the fact that LIN-GO has the characteristics of the separation of information and physical objects under the environment of massive information and information network, except for the clear provisions of the law, LIN-GO does not need to be responsible for the transaction behavior of all sellers and buyers and related transactions. However, if LIN-GO is notified by a third party such as consumers, regulatory authorities, and rights holders, or LIN-GO finds that a certain seller, product or If there are product quality problems, intellectual property infringement, transaction fraud and other illegal/improper acts that may violate relevant laws and regulations and this agreement, you agree that LIN-GO will make reasonable judgments on the relevant content based on the general public perception standards based on the platform-related processes , LIN-GO may issue a notice to the seller to inquire or request correction according to different situations, or directly delete relevant information, take restrictive measures on the store, or stop the service. Except for the intentional or gross negligence of LIN-GO, LIN-GO is exempt from the above judgments.

5.3 [Mediation decision] You understand and agree that in the dispute mediation service, LIN-GO's customer service and public reviewers are not professionals, and can only judge the certificates submitted by users and/or sellers based on general public knowledge. Therefore, unless there is intentional or gross negligence, the mediation party shall be exempted from the dispute mediation decision.

6. User’s breach of contract and handling

6.1 Determination of breach of contract

In any of the following situations, you are deemed to be in breach of the contract:

(1) Violation of relevant laws and regulations when using LIN-GO seller services;

(2) Violation of this Agreement;

In order to adapt to the development of e-commerce and meet the needs of mass users for efficient and high-quality services, you understand and agree that LIN-GO may stipulate the procedures and standards for the determination of breach of contract in the relevant rules of LIN-GO. For example: LIN-GO can determine whether you constitute a breach of contract based on the relationship between your user data and massive user data; you are obliged to provide sufficient evidence and reasonable explanations for your data anomalies, otherwise it will be deemed a breach of contract.

6.2 Measures for breach of contract

[Information Processing] If the information you posted on LIN-GO constitutes a breach of contract, LIN-GO can immediately delete or block the corresponding information or remove or supervise your products according to the corresponding rules.

[Restrictions on Behavior] If your behavior on LIN-GO, or your behavior that has not been implemented on LIN-GO but has an impact on LIN-GO and its users constitutes a breach of contract, LIN-GO may execute your account according to the corresponding rules Deducting points, restricting participation in marketing activities, suspending part or all of the services provided to you, deducting liquidated damages and other processing measures. If your behavior constitutes a fundamental breach of contract, LIN-GO may seal up your account and terminate the provision of services to you.

[Announcement of Handling Results] LIN-GO can publicize information on handling measures for your above-mentioned breach of contract and other illegal information confirmed by effective legal documents of national administrative or judicial agencies on LIN-GO.

6.3 Liability for compensation

If your behavior causes LIN-GO and/or its affiliated companies to suffer losses, you shall perform the compensation liability in accordance with this agreement, and the losses (if any) suffered by LIN-GO and/or its affiliated companies that you must compensate include:

(1) Reasonable attorney fees, litigation fees paid, and necessary expenses incurred to eliminate impacts;

(2) Fines, liquidated damages or compensation paid to external parties due to administrative penalties, judicial judgments, mediation within the scope of statutory standards, etc.;

(3) Loss of goodwill and loss of reasonable expected benefits (such as loss of consumers, reduction in expenditure, reduction in consumption frequency, and reduction in the income of store operators, etc.), the specific amount can be independently and reasonably analyzed by a third party, and LIN-GO can be reasonably analyzed based on big data and other reasonable methods of calculating gains and losses are used as the calculation basis;

(4) Other losses suffered as a result.

If your actions cause LIN-GO and/or its affiliates to claim rights from a third party, LIN-GO and/or its affiliates may claim compensation from you for all losses after assuming obligations such as monetary payments to the third party.

If a third party suffers losses due to your behavior or you fail to perform the mediation decision, LIN-GO and/or its affiliated companies may instruct LIN-GO to take action from your Payment is made by debiting the corresponding amount from the store account. If your store balance or security deposit is not enough to pay the corresponding amount, you agree to entrust LIN-GO to use your own funds to pay the above amount on your behalf, and you should return this part of the fee and compensate LIN-GO for all losses caused thereby.

You agree to LIN-GO instructing to debit the corresponding amount from your store account to pay the above compensation. If the funds in your account are not enough to pay the above-mentioned compensation, LIN-GO and/or its affiliates can directly offset your rights and interests under other agreements of LIN-GO and/or its affiliates, and can continue to recover.

6.4 Special agreement

[Commercial bribery] If you provide benefits in kind, cash, cash equivalents, labor services, travel, etc. to employees or consultants of LIN-GO and/or its affiliated companies, it can be deemed that you have commercial bribery bribery. In the event of the above situation, LIN-GO may immediately terminate all cooperation with you and charge you liquidated damages and/or compensation. [Affiliated Processing] If LIN-GO terminates this agreement due to your serious breach of contract, for the purpose of maintaining platform order and protecting consumer rights, LIN-GO and/or its affiliates may Cooperation will take measures to suspend or even terminate the agreement, and notify you in the manner stipulated in Article 8 of this agreement. If other agreements signed between LIN-GO and you and the agreement signed between LIN-GO and/or its affiliates and you clearly stipulate the related processing of your cooperation under this agreement, then LIN-GO shall For the purpose of maintaining the order of the platform and protecting the rights and interests of consumers, the agreement may be suspended or even terminated when receiving instructions, and you will be notified in the manner stipulated in Article 8 of this agreement.

7. Changes to the agreement

LIN-GO may revise this agreement from time to time according to changes in national laws and regulations and the need to maintain transaction order and protect consumer rights and interests. way to notify you. Once the amendment to this agreement becomes effective, it will constitute a supplement to the rights and obligations of you and LIN-GO and become a part of this agreement.

If you do not agree to the changes, you have the right to contact LIN-GO for feedback before the effective date of the changes. If the feedback is adopted, LIN-GO will adjust the changes as appropriate.

If you still disagree with the effective changes, you should stop using the LIN-GO seller service from the effective date of the changes, and the changes will not be effective for you; if you continue to use LIN-GO after the changes take effect GO Seller Services, it is deemed that you agree to the changes that have taken effect.

8. Notice

  8.1 Effective contact information
